The Corporate and Securities Department provides broad-based and sophisticated representation to publicly held and privately held businesses, private investors, lenders, borrowers and “funds”, both with respect to transactional matters, as well as day-to-day corporate counseling. In our representation we always keep prominently in mind the business objectives and needs of our clients and consistent with that principle, we strive to offer practical and useful legal counsel to our clients.

• Our Clients include venture capital firms, private equity funds, hedge funds, wealthy individuals, private businesses in all types of industries, and publicly traded companies.  We represent buyers and sellers in all types of purchase and sale transactions, borrowers and lenders in loan transactions, public companies in their SEC reporting requirements, licensors and licensees of intellectual property, and businesses in everyday corporate counseling.

• We have significant experience in representing small and middle market businesses, both with respect to financing arrangements, purchase and sale transactions, as well as general legal day-to-day issues.  We understand the unique pressures of operating small and medium sized businesses in a competitive environment.

• We represent “funds” (venture capital, private equity and hedge) both with regard to their formation and regulation and their investments.  In particular, we have special expertise in venture capital and private equity finance, having closed more than 50 transactions in this area over the last few years.

We work very frequently with the Real Estate, Commercial Litigation and Restructuring Departments in our Firm to meet our clients’ needs and objectives.
